Terms of Service

These Terms of Service govern your access to the CaaS website, customer portal, and managed AI deployment services provided by Wherk AI, LLC.

1. Acceptance of Terms

By accessing or using Claw as a Service ("CaaS," "Service," or "Platform"), you agree to these Terms of Service and our Privacy Policy. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these terms.

2. What CaaS Provides

CaaS is a managed deployment platform for organization-specific AI assistants. We provide the hosted marketing site, customer portal, onboarding workflow, billing flow, provisioning tooling, and managed infrastructure needed to run isolated customer deployments.

Certain features depend on third-party providers, including authentication, billing, hosting, infrastructure, communications, integrations, and model providers. Availability of those features may change if a provider changes its services, policies, or technical requirements.

3. Accounts and Organization Access

You are responsible for maintaining the confidentiality of your login credentials, inviting only authorized users, and managing organization roles appropriately. You must provide accurate and current account, organization, and billing information.

We may suspend or limit access if we reasonably believe an account has been compromised, used fraudulently, or used in violation of these terms.

4. Acceptable Use

You may not use CaaS to:

  • break the law or violate third-party rights,
  • store or process data you are not authorized to use,
  • upload malware, attempt unauthorized access, probe for vulnerabilities, or interfere with the security or availability of the Service,
  • use the Service to send spam, deceptive content, or abusive or harmful material,
  • use the Service in ways that infringe privacy, employment, consumer protection, export, sanctions, or intellectual-property laws, or
  • rely on AI output for legal, medical, financial, employment, or safety critical decisions without appropriate human review.

5. Fees, Billing, and Cancellation

Paid plans are billed according to the pricing, order form, or other written commercial terms we provide to you. Current public pricing includes a monthly subscription fee and a one-time setup fee. Unless otherwise stated in writing, fees are quoted in U.S. dollars and taxes are additional where applicable.

Subscription billing and setup fees are processed through Stripe or another authorized payment provider. By purchasing a paid plan, you authorize us and our billing provider to charge the applicable fees using your selected payment method.

Except where required by law or expressly agreed in writing, setup fees are non-refundable. Monthly subscriptions can be canceled with at least 30 days notice, and cancellation will take effect at the end of the applicable notice period unless a separate order form states otherwise.

6. Customer Data and Inputs

You retain ownership of the data, files, prompts, documents, and other content you provide to CaaS or connect through third-party systems ("Customer Data"). You grant us the limited rights needed to host, process, transmit, secure, back up, and display Customer Data solely to provide and support the Service.

You are responsible for ensuring that you have all permissions, notices, and legal bases needed to provide Customer Data to us and to connect any third-party systems or communication channels to your CaaS deployment.

7. AI Output and Third-Party Services

AI systems can generate incomplete, incorrect, or inappropriate output. You are responsible for reviewing outputs before relying on them in production, customer-facing, regulated, or high-risk contexts.

We do not control third-party providers such as communication platforms, model vendors, authentication providers, billing providers, or external data sources. Their services are subject to their own terms, uptime, and policy changes.

8. Confidentiality and Security

We will use reasonable measures to protect Customer Data and confidential business information processed through the Service. You agree to use reasonable security measures on your side as well, including access management, channel controls, and careful handling of connected credentials.

9. Intellectual Property

The Service, website, software, branding, documentation, and related materials are owned by Wherk AI, LLC or its licensors and are protected by applicable intellectual-property laws. These terms do not transfer ownership of our technology to you.

If you provide product feedback, suggestions, or feature requests, we may use them without restriction or obligation to you.

10. Suspension and Termination

We may suspend or terminate access to the Service if you materially breach these terms, fail to pay fees when due, create a security risk, or use the Service in a way that could harm us, our providers, or other customers.

Upon termination, your right to use the Service ends. We may delete or decommission your environment in accordance with our retention practices and any contractual commitments that apply.

11. Disclaimers and Limitation of Liability

Except to the extent prohibited by law or expressly stated in a signed order form, the Service is provided on an "as is" and "as available" basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by law, Wherk AI, LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business interruption arising from or related to the Service. Our total liability for claims arising out of the Service will not exceed the amount you paid us for the Service during the 12 months before the event giving rise to the claim.

12. Updates and Contact

We may update these terms from time to time. If we make material changes, we will update the effective date above and may provide additional notice where appropriate.
